Nctm and Jones Day advising on acquisition by Unieuro of stores from bankrupt DPS Group
Nctm advised Unieuro S.p.A. (“Unieuro”), the largest omnichannel distributor of consumer electronics and home appliances by number of outlets in Italy, on the acquisition of a business unit from bankrupt DPS Group S.r.l. (“DPS”), assisted by Jones Day.
In particular, eight former Trony stores were sold to Unieuro at bankruptcy auction, namely, three stores in Milan, including the flagship store in Piazza San Babila, and a further 5 other stores located in various Italian regions.
The transaction – worth € 3.4 million – confirms the strategy of selective growth pursued by Unieuro, aimed at immediately relaunching stores and reopening to the public in September and October. The acquisition, following talks with the sector’s unions, allowed the reabsorption of the staff employed at the stores.
Nctm Studio Legale advised on the transaction through, respectively, Simone De Carli and Mario Bonferroni as to corporate aspects, Fabio Marelli as to bankruptcy issues and Roberta Russo and Daniele Fumagalli as to labor law issues. Company-side legal aspects were dealt by Filippo Fonzi.
Jones Day assisted DPS’s receiver in connection with personnel matters, through lawyer Adelio Riva.
