Filippo Ughi is expert in corporate finance, M&A, private equity, venture capital, corporate law and national and international commercial contracts.
He assists leading companies (listed and unlisted) and Italian and foreign investment funds in extraordinary transactions. In this context, he prepares and negotiates acquisition contracts, investment agreements, mergers, demergers, shareholders' agreements, leases and transfers of companies and going concern.
He also advises on corporate matters, with regard to the drafting and revision of corporate bylaws and regulations of corporate bodies, as well as on the appointment, revocation and replacement of the members of the aforesaid corporate bodies for the ordinary and extraordinary corporate activities of listed and unlisted companies.
He also assists Italian and foreign companies in the drafting, negotiation and revision of commercial contracts with their customers, distributors, agents, suppliers, contractors and licensors/licensees, providing advice on the most diverse matters that may affect client’s relations with the aforesaid counterparties in their contractual relations, such as the amendment, renewal, termination and cancellation of the same agreements.
