    Composizione negoziata – Denunzia al Tribunale ex art. 2409 c.c.


    Tribunale di Milano, 11 aprile 2025

    Il Tribunale di Milano, a fronte della denuncia di gravi irregolarità ex art. 2409 c.c. presentata dai sindaci di una società per azioni , ha respinto il ricorso in considerazione dell’intervenuto accesso dell’impresa al percorso di composizione negoziata della crisi, ritenendo che l’adozione dell’eventuale ordine di ispezione avrebbe potuto compromettere il percorso di risanamento intrapreso.  

    Per la prima volta un decreto si pronuncia sul rapporto tra composizione negoziata della crisi e denuncia ex art. 2409 c.c., sottolineando la necessità per i Tribunali di esercitare la massima prudenza prima di intervenire sugli assetti gestionali e sulle dinamiche interne della società, durante l’utilizzo di tale strumento di regolazione della crisi.

    Un’espressione di favor per la procedura, ritenendosi che il relativo accesso, con i presidi in essa contemplati, quali la nomina dell’Esperto, possa sostanzialmente superare la necessità di attivazione dei rimedi societari.
