    Concordato preventivo – Cram down fiscale e ristrutturazione trasversale

    Il Tribunale di Verona ha omologato un concordato in continuità aziendale nonostante il voto contrario dell’Agenzia delle Entrate, applicando il meccanismo del cram down fiscale, anche ai fini della ristrutturazione trasversale ex artt. 88, co. 4, e 112, co. 2, CCII. Il giudice ha ritenuto che la proposta concordataria fosse più conveniente della liquidazione giudiziale, rispettosa dell’ordine dei privilegi (anche nella distribuzione della finanza esterna) e sorretta da un piano fattibile e coerente nelle sue previsioni economico-finanziarie. 

    La decisione è innanzitutto significativa in quanto conferma l’applicabilità del cram down fiscale anche ai fini del raggiungimento delle maggioranze del cross-class cram down, successivamente alle modifiche sul punto intervenute con il Correttivo-per. 

    La pronuncia è poi rilevante anche sotto il molto attuale e discusso profilo (cfr. App. Milano 24 marzo 2025) della c.d. ‘ultrattività moderata’ (o ‘privilegio attenuato’) del degrado erariale. La proposta omologata, infatti, se da un lato prevedeva una separata suddivisione in classi dei vari tributi incapienti, dall’altro lato prevedeva un soddisfacimento pari ai chirografi ab origine per due classi di privilegiati degradati a chirografo (accise e imposte comunali) ma che, secondo la teoria del privilegio attenuato, avrebbero invece dovuto ricevere un pagamento superiore.
