    Cram down fiscale negli accordi di ristrutturazione dei debiti – non si applica la liberazione dei coobbligati ex art. 59 co. 2 CCII

    Secondo la Corte bresciana il cram down fiscale determina un’assimilazione in toto delle agenzie fiscali e previdenziali ai creditori aderenti agli accordi e non invece un fenomeno assimilabile agli accordi a efficacia estesa di cui all’art. 60 CCII. In quest’ultimo caso, a seguito del correttivo ter, restano salvi i diritti dei creditori nei confronti dei fideiussori e dei coobbligati (così come da sempre nel concordato preventivo). Questa disposizione non si applica quindi ai creditori pubblici, che conseguentemente non possono agire nei confronti di eventuali coobbligati a seguito dell’omologazione degli accordi.

    Si tratta di una decisione coerente con l’impostazione del Codice, che prevede due distinti istituti, ognuno dei quali ha una propria ratio, diversi caratteri, presupposti ed effetti.

    Si segnala il richiamo, quale obiter dictum nella motivazione, alla circostanza che lo scopo della norma sarebbe la conservazione, ove possibile, della continuità aziendale: gli accordi di ristrutturazione possono avere anche carattere liquidatorio, ma certamente l’interpretazione è funzionale anche a questa finalità, ove ne sia il caso.
