    Contratti di locazione - la Cassazione "Sdogana il <i>triple net</i>"


    Con sentenza n. 6882/2019, le Sezioni Unite della Corte di Cassazione hanno confermato l’orientamento per cui sono valide le clausole inserite nei contratti di locazione ad uso diverso da quello abitativo che pongono a carico del conduttore il pagamento delle imposte e delle tasse relative all’immobile locato.

     

    Sul punto si contrapponevano due orientamenti giurisprudenziali: il primo (Cass. Civ., sez. I, 5 gennaio 1985, n. 5), per cui siffatte clausole sarebbero nulle per violazione di legge ai sensi dell’articolo 1418, comma 1, cod. civ., in quanto contrastanti con l’articolo 53 della Costituzione, che porrebbe in capo al contribuente il divieto di riversare il pagamento degli oneri tributari su un soggetto diverso dal c.d. legittimato passivo; il secondo, maggioritario (Cass. Civ., S.U., 18 dicembre 1985, n. 6445), secondo cui tali clausole sarebbero invece valide purché dirette esclusivamente a riversare il peso dell’imposta su un soggetto diverso dal contribuente e non anche ad individuare un soggetto d’imposta passivo diverso rispetto al “percettore del reddito”.

     

    Ora, le Sezioni Unite, con la sentenza in esame, hanno chiarito una volta per tutte che la clausola di un contratto di locazione, che ribalta sul conduttore il pagamento delle imposte relative all’immobile locato, è valida in quanto la stessa non sposta in capo al conduttore l’onere di corresponsione di tali imposte, rimanendo il locatore unico obbligato verso il fisco, ma costituisce soltanto un’integrazione ed una diversa modulazione del canone di locazione.
