    Nuove difficoltà per imprese in crisi: il tramonto del Sanierungserlass e il nuovo § 3a EStG


    È ragionevolmente da attendersi che un imprenditore in stato di crisi, intimato dai suoi creditori, cerchi di ottenere – quale primo passo verso la salvezza dell’impresa – una rinuncia da parte del creditore. Dal punto di vista tributario, una siffatta rinuncia determina tuttavia il sorgere di nuove criticità. Secondo la normativa tedesca, la rinuncia è trattata alla stregua di un ‘profitto di risanamento’, di regola sottoposto a tassazione. Per lungo tempo si era aperta la via a eccezioni a tale regola tramite il Sanierungserlass, circolare del Ministero Federale delle Finanze (BMF). Tuttavia, una sentenza della Corte Federale delle Finanze del 28.11.2016 (sentenza n. BFH GrS 1/15) ha dichiarato incostituzionale il Sanierungserlass, determinando così una situazione d’incertezza.

     

    Il Legislatore ha reagito con l’introduzione di un nuovo paragrafo nel Testo Unico sulle imposte Tedesco (§ 3a EStG); si tratta di una disposizione che fissa in modo distinto – e piuttosto complesso – i requisiti da soddisfare affinché tale ‘profitto di risanamento’ rimanga esente da imposte. Si tratta di una novità di per sé auspicata, che tuttavia si è dimostrata non risolutiva di ogni questione. Una norma come quella contenuta in § 3a EStG potrebbe destare il sospetto che si tratti di un aiuto di Stato vietato ai sensi del diritto comunitario (artt. 107 ss. TFUE). Per questo la Germania ha instaurato una procedura di notifica, chiedendo alla Commissione Europea di esaminare la compatibilità della disposizione con il diritto dell’Unione Europea. Il § 3a EStG entrerà in vigore solo quando l’approvazione della Commissione sarà resa nota nella Gazzetta Ufficiale tedesca (Bundesgesetzblatt): il che non è ancora avvenuto.

     

    Fino a quel momento, la prassi deve fare attenzione alla comunicazione del BMF sul Sanierungserlass del 27.04.2017 (disponibile su bit.ly/2APPoux). Il documento indica quale sia il diritto applicabile a diversi casi; esso appare di estrema importanza anche perché prevedibilmente il § 3a EStG – se entrasse in vigore – non sarebbe comunque retroattivo. Ciò significa che la situazione rimarrà in ogni caso incerta ancora per qualche tempo, continuando a interrogare imprese e avvocati.
